⚠ Trading Risk Disclaimer: Our software TMSBars are tools to assist with trade management and analysis. They do NOT guarantee profits or financial returns. Trading futures and other financial instruments involves substantial risk of loss. Past performance is not indicative of future results.

1. Acceptance of Terms

By accessing or using Trade Matrix System's platform and NinjaTrader TMSBars ("Services"), you agree to be bound by these Terms & Conditions. If you do not agree, do not use our Services.

2. Services

Trade Matrix System provides software TMSBars for the NinjaTrader 8 trading platform, delivered via subscription. Our Services include:

  • NinjaTrader TMSBars (trade management, risk tools, analytics)
  • License key management and entitlement
  • Customer support and documentation
  • User dashboard for subscription management

We reserve the right to modify, suspend, or discontinue any part of our Services at any time.

3. Subscriptions & Billing

All subscriptions are billed on a recurring basis (monthly or yearly) through Stripe. By subscribing, you authorize us to charge your payment method at the beginning of each billing cycle.

  • Subscriptions auto-renew unless canceled before the billing date
  • Price changes will be communicated 30 days in advance
  • Refunds are subject to our Refund Policy
  • Failed payments may result in service suspension

4. License Grant

Upon subscription, we grant you a non-exclusive, non-transferable, revocable license to use our NinjaTrader TMSBars for personal trading purposes. You may NOT:

  • Redistribute, resell, or share your license keys
  • Reverse engineer, decompile, or modify our TMSBars
  • Use TMSBars for competing product development
  • Share account access with unauthorized users

5. Prohibited Use

You agree not to use our Services to:

  • Violate any laws or regulations
  • Attempt to gain unauthorized access to our systems
  • Interfere with platform operations or other users
  • Use automated tools to scrape or access our platform

6. Limitation of Liability

Trade Matrix System provides software tools "as is" without warranties of any kind. We are NOT liable for:

  • Trading losses or financial damages resulting from use of our TMSBars
  • Platform downtime or service interruptions
  • Third-party platform issues (NinjaTrader, brokers)
  • Indirect, incidental, or consequential damages

7. Termination

We may terminate or suspend your account without notice if you violate these Terms. Upon termination, your license to use our TMSBars is revoked immediately. You may cancel your subscription at any time through your dashboard.

8. Governing Law

These Terms are governed by and construed in accordance with the laws of the United States. Any disputes shall be resolved through binding arbitration.
